Terms of Service

These Terms of Service govern your access to and use of Automotive OS, a software service operated by DealGear Technologies LLC d/b/a Automotive OS. By creating an account, starting a trial, purchasing a subscription, or otherwise using Automotive OS, you agree to these Terms.

1. About Automotive OS

Automotive OS is subscription software designed primarily for automotive sales professionals, leasing professionals, and independent automotive brokers. The service may provide customer relationship management, customer and vehicle records, deal workspaces, lease, finance, and cash deal calculations, calendar and follow-up tools, dealer network information, customer-facing deal presentations, proposals and PDFs, reporting, and related sales-workflow tools. Automotive OS is software for the individual automotive professional. It is not a dealership management system, dealership-required CRM, lender, financial institution, credit bureau, automobile manufacturer, dealership, or financing provider.

2. Accounts and Eligibility

Users must provide accurate information when creating and maintaining an Automotive OS account. Users are responsible for maintaining control of their account, protecting authentication credentials, keeping account information reasonably current, activities occurring through their account, and notifying Automotive OS if they believe their account has been compromised. Authentication may be provided through third-party authentication infrastructure.

3. Subscription and Free Trial

Automotive OS Pro is currently offered at $29 per month following a 30-day free trial. Unless canceled before the end of the trial, the subscription will convert to a paid monthly subscription at the price disclosed at signup or checkout. Paid subscriptions renew automatically each month until canceled. Pricing may be changed for future billing periods, subject to any notice required by applicable law.

4. Billing and Payment

Subscription billing and payment processing are handled through Stripe or another payment processor designated by Automotive OS. Users authorize the applicable payment provider to charge the payment method associated with their subscription for recurring subscription fees and any applicable taxes. If a payment fails, access to paid functionality may be restricted or suspended in accordance with subscription status.

5. Cancellation

Users may cancel their Automotive OS subscription at any time. Cancellation prevents the subscription from renewing for another billing period. When a paid subscription is canceled, access to paid Automotive OS functionality generally continues through the end of the current paid billing period. If a user cancels during a free trial before it ends, the subscription should not convert to a paid renewal, subject to the subscription status shown through the billing provider. Cancellation does not automatically delete the user’s account or stored information. Users may contact support@automotiveos.co regarding account or data-deletion requests.

6. Refund Policy

Except where required by applicable law, subscription fees are non-refundable. Cancellation stops future renewal but does not generate a refund or prorated credit for unused time remaining in the current paid billing period.

7. Customer and Business Information

Users may enter information relating to customers, prospects, vehicles, deals, notes, dealer contacts, follow-up activity, appointments, payment scenarios, trade information, proposals, and other professional records. Users are responsible for ensuring they are authorized to collect, enter, use, maintain, and process that information, and must comply with applicable law, dealership policies, employment agreements, contractual obligations, privacy requirements, and consent requirements where applicable. Automotive OS does not grant a user ownership rights in dealership records or other information the user is not otherwise authorized to possess or use. It is not a substitute for dealership-required CRM or DMS systems, privacy procedures, consent processes, compliance systems, or recordkeeping obligations.

8. Acceptable Use

Users may not use Automotive OS to violate applicable law; access or store information they are not authorized to possess; misuse customer or consumer information; infringe intellectual-property rights; interfere with or disrupt the service; attempt unauthorized access to another user’s account or workspace; reverse engineer or improperly exploit the service except where prohibited by law; introduce malware or malicious code; engage in fraud, deception, or unlawful activity; resell access without authorization; or circumvent subscription, authentication, or security controls.

9. Deal Calculations and Information

Automotive OS may provide tools for calculating or presenting automotive lease, finance, cash, trade, payment, and deal scenarios. These tools are intended to assist automotive professionals with organizing and evaluating deal information. Results may depend on user-entered information and assumptions including vehicle price, residual value, money factor, interest rate, term, mileage, taxes, fees, incentives, rebates, cash down, trade values, payoff amounts, and lender or manufacturer program information. Users are responsible for verifying all figures before presenting, quoting, relying on, or using them in a transaction. Automotive OS does not guarantee that a calculation represents an actual lender approval, manufacturer program, dealership offer, financing commitment, vehicle availability, or legally binding transaction. Rates, incentives, residuals, money factors, fees, taxes, and program terms may change and vary by lender, manufacturer, dealership, customer qualification, jurisdiction, and transaction. Automotive OS does not make credit decisions, extend credit, or guarantee financing approval.

10. Proposals and Presentations

Automotive OS may allow users to generate or present customer-facing deal information. Unless expressly stated otherwise, materials generated through Automotive OS are informational tools and do not independently constitute a binding vehicle sale agreement, retail installment contract, lease contract, lender approval, financing commitment, dealership commitment, or manufacturer offer. Users remain responsible for ensuring customer-facing information is accurate and appropriate before presenting or distributing it.

11. Third-Party Services

Automotive OS may rely on or interact with third-party services, infrastructure, websites, or information. Known service providers may include Clerk for authentication, Stripe for billing, Vercel for hosting and delivery infrastructure, and Neon / PostgreSQL for application database infrastructure. Automotive OS is not responsible for independent third-party services outside its control. Use of third-party services may also be subject to the third party’s own terms and privacy practices.

12. Automotive OS Intellectual Property

Automotive OS, including its software, branding, interface, design, code, documentation, and related materials, is owned by or licensed to DealGear Technologies LLC and is protected by applicable intellectual-property laws. Use of the service does not transfer ownership of Automotive OS intellectual property to the user. Users receive a limited, revocable, non-exclusive right to use the service in accordance with these Terms while they have authorized access.

13. Your Content

As between Automotive OS and the user, users retain whatever rights they lawfully possess in information and content they enter into Automotive OS. Users grant DealGear Technologies LLC only the rights reasonably necessary to host, process, transmit, back up, display, and otherwise handle that information to provide, secure, maintain, and improve the service. Users may only submit information they have the legal right or authorization to use.

14. Feedback

Users may provide suggestions, ideas, comments, or other feedback about Automotive OS. Automotive OS may use feedback to improve, develop, and operate the product without obligation to compensate the person providing feedback.

15. Founding Beta

Automotive OS is currently in a Founding Beta stage. During beta, features may change, functionality may be added or removed, interfaces may evolve, errors or interruptions may occur, and workflows may be modified based on user feedback. Automotive OS does not guarantee that every beta feature will remain permanently available.

16. Changes to the Service

Automotive OS may modify, improve, update, add, or discontinue features over time. Automotive OS may perform maintenance or experience service interruptions.

17. Suspension or Termination

Automotive OS may suspend or terminate access where reasonably necessary due to violation of these Terms, unlawful activity, fraud, misuse, security concerns, nonpayment, or material risk to the service or other users. Users may stop using Automotive OS and cancel their subscriptions at any time. Cancellation and account termination are distinct from automatic deletion of stored information. Information may be retained as described in the Privacy Policy and as reasonably necessary for legal, security, operational, or dispute-resolution purposes.

18. Privacy

Use of Automotive OS is also subject to the Automotive OS Privacy Policy, which describes how Automotive OS handles personal information.

19. Disclaimer of Warranties

To the extent permitted by law, Automotive OS is provided on an “as is” and “as available” basis. DealGear Technologies LLC does not guarantee that the service will always be uninterrupted, every feature will always be available, calculations will be error-free, user-entered data will be accurate, third-party information will always be current, or the service will satisfy every dealership or regulatory requirement. Nothing in these Terms is intended to limit rights that cannot legally be waived.

20. Limitation of Liability

To the maximum extent permitted by applicable law, DealGear Technologies LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of Automotive OS, including lost profits, lost business opportunities, loss of goodwill, loss arising from inaccurate user-entered deal information, or inability to access the service.

21. User Responsibility and Indemnification

To the extent permitted by law, users are responsible for claims arising from their unlawful use of Automotive OS, information they entered without authorization, violation of applicable law, violation of dealership or contractual obligations, infringement of third-party rights, or material violation of these Terms.

22. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.

23. Changes to These Terms

Automotive OS may update these Terms from time to time. The updated version and effective date will be posted on this page. Where required by applicable law, Automotive OS will provide additional notice of material changes. Continued use after an updated Terms version becomes effective may constitute acceptance where permitted by law.

24. General Terms

If a provision of these Terms is determined to be unenforceable, the remaining provisions remain in effect to the extent permitted by law. Failure to enforce a provision does not automatically waive the right to enforce it later. Users may not assign their rights or obligations under these Terms except as permitted by Automotive OS or applicable law. DealGear Technologies LLC may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar business transaction, subject to applicable law.
